Welcome to HuaSpare (the "Platform", domain huaspare.com, operated by HuaSpare Technology Co., Ltd.). Before registering for or using the Platform, please read these Terms carefully. By registering, logging in, or using the Platform, you acknowledge that you have read and agreed to these Terms.
1. Scope of the Agreement
These Terms constitute the agreement between you and the Platform regarding registration and use of the Platform services. We may update these Terms as required by law or operational needs. Updated Terms take effect upon publication and replace the previous version; your continued use of the Platform constitutes acceptance.
2. Account Registration and Security
1. You must provide true, accurate and complete registration information and keep it up to date.
2. You are responsible for safeguarding your account and password and for all activities under your account. If you suspect unauthorized use or any security issue, notify the Platform immediately.
3. Accounts may not be transferred, lent or sold.
3. Products and Orders
1. The Platform is a B2B marketplace for industrial spare parts. Product information (including models, dimensions, materials, prices and stock) is published by resident suppliers or the Platform. We strive for accuracy but are not liable for differences caused by manufacturer specification changes; the physical goods and the contract terms prevail.
2. A contract is formed when you submit an order and complete payment (or agree on settlement terms with the supplier). In case of stock-outs or pricing errors, the Platform or supplier may cancel the order with notice and issue a refund.
3. Delivery and settlement of inquiries, quotations and custom-made goods are subject to online confirmation or a written contract between the parties.
4. Payment and Invoicing
1. You may pay using the payment methods supported by the Platform.
2. Invoices are issued by the actual supplier in accordance with tax laws and regulations. Please provide correct billing information when placing an order if an invoice is required.
5. Delivery and After-Sales Service
1. Shipping methods, freight charges and delivery times are as stated in the order confirmation.
2. Please inspect goods promptly on arrival. For quality issues or non-conformity, contact customer service within a reasonable period after receipt to arrange a return or exchange.
3. Damage caused by improper installation, improper use or use outside the product's applicable conditions is not covered by warranty.
6. User Conduct
You may not use the Platform for any unlawful activity, post false information, submit malicious inquiries, or disrupt Platform operations. Otherwise, the Platform may restrict or terminate your account and reserves the right to pursue legal liability.
7. Intellectual Property
The intellectual property rights in text, images, logos and software on the Platform belong to the Platform or the respective rights holders. Reproduction, redistribution or commercial use without written permission is prohibited.
8. Disclaimer
The Platform is not liable for service interruption or data delay caused by force majeure, system maintenance, network failure or other causes beyond its reasonable control, but will endeavor to minimize any impact on you.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of the People's Republic of China. Disputes shall first be resolved through friendly negotiation; if negotiation fails, either party may bring a lawsuit before the competent court at the location of the Platform operator.
